These Terms and Conditions govern your use of CodeSquad's website, platform, products, and services.

These Terms and Conditions ("Terms") govern your access to and use of the codesquad.ai website, platform, products, and services (collectively, the "Services") provided by CodeSquad Inc. ("CodeSquad," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Definitions

  • Account means the user account created to access the Services.
  • Agent(s) means automated workflows and/or AI-enabled systems configured to perform tasks across connected applications.
  • Customer Data means data, content, files, messages, prompts, and other information submitted to or processed through the Services by or on behalf of you.
  • Third-Party Services means services, software, and integrations not owned or controlled by CodeSquad (for example Google, Slack, HubSpot, Stripe, OpenAI).

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet these requirements.

3. Account Registration and Security

  • Provide accurate and complete information.
  • Keep your login credentials confidential.
  • Promptly notify us of any unauthorized access or security breach.

You are responsible for all activities that occur under your Account.

4. Services Overview

CodeSquad provides tools and services for building, deploying, and managing automation workflows and AI agents, including integrations with Third-Party Services. The Services may include:

  • Workflow configuration.
  • AI-generated content and recommendations.
  • System monitoring and logs.
  • Templates and pre-built automations.
  • Professional services (if applicable).

We may modify, update, or discontinue features of the Services at any time, subject to applicable law and any written agreement you have with us.

5. Subscriptions, Fees, and Payment

If you purchase a subscription or paid Services:

  • You agree to pay all fees described at checkout or in an order form.
  • Fees are charged in USD and are non-refundable except where required by law or expressly stated by us in writing.
  • You authorize us (and our payment processor) to charge your payment method on a recurring basis for subscription plans.

Taxes: Fees do not include taxes unless stated otherwise. You are responsible for any applicable taxes.

Late Payments: We may suspend or limit access to the Services for overdue amounts.

6. Trials, Beta Features, and Promotional Offers

We may offer free trials, beta features, or promotional offers. Unless otherwise stated:

  • Trials may convert to paid plans automatically at the end of the trial period.
  • Beta features are provided "as is," may change at any time, and may be discontinued without notice.

7. Acceptable Use

You agree not to misuse the Services. You will not:

  • Break the law or violate third-party rights.
  • Attempt to access systems or data you do not have permission to access.
  • Interfere with or disrupt the Services.
  • Upload malware or harmful code.
  • Use the Services to generate or distribute spam, deceptive content, or fraudulent messages.
  • Use the Services for high-risk activities where errors could lead to serious harm (for example medical diagnosis, emergency response, critical infrastructure control) unless explicitly agreed in writing.

We may suspend or terminate your access if we reasonably believe you are violating these Terms.

8. AI Outputs and Customer Responsibilities

The Services may generate outputs (for example emails, messages, summaries, classifications, recommendations) using AI ("AI Outputs").

  • AI Outputs may be inaccurate, incomplete, or inappropriate and may not reflect current or correct information.
  • You are responsible for reviewing, validating, and approving AI Outputs before using or relying on them, especially for legal, financial, or business-critical decisions.
  • CodeSquad does not provide legal, tax, financial, or other professional advice unless explicitly stated in writing.

9. Third-Party Services and Integrations

The Services may connect with Third-Party Services. By enabling integrations, you authorize us to access and process Customer Data as necessary to provide the integration.

  • Third-Party Services are governed by their own terms and privacy policies.
  • CodeSquad is not responsible for Third-Party Services' availability, security, functionality, or acts or omissions.
  • Integration performance may be affected by API limits, outages, or changes made by the third party.

10. Customer Data and Privacy

You retain ownership of your Customer Data. You grant CodeSquad a limited license to host, store, process, transmit, and display Customer Data solely to provide and improve the Services, comply with law, and enforce these Terms.

11. Intellectual Property

Our IP: The Services, including software, templates, designs, and all related intellectual property, are owned by CodeSquad and its licensors. Except as expressly allowed, you may not copy, modify, distribute, sell, or lease any part of the Services.

Your IP: You own your Customer Data. If you provide feedback or suggestions, you grant us permission to use them without restriction or compensation.

12. Confidentiality (If Applicable)

If you receive non-public information from us (or we receive non-public information from you) that is marked or reasonably understood as confidential, both parties agree to protect it and use it only for purposes related to the Services, except where disclosure is required by law.

13. Security

We use reasonable administrative, technical, and organizational measures designed to protect Customer Data. However, no system is 100% secure, and we do not guarantee absolute security.

You are responsible for configuring your integrations, permissions, approval steps, and access controls appropriately.

14. Support and Service Levels

Support scope, response times, and any service-level commitments (if any) will be described on our website or in a separate written agreement or order form. We may change support policies from time to time.

15. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate your access if:

  • You violate these Terms.
  • Your use poses a security risk.
  • We are required to do so by law.

Upon termination, your right to use the Services stops immediately. Where applicable, you may request export of your Customer Data within 14 days before deletion, subject to technical limits and legal requirements.

16. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, CodeSquad disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Services will be uninterrupted, error-free, or secure.
  • AI Outputs will be accurate or suitable for your use case.
  • Integrations will always work as expected.

17. Limitation of Liability

To the maximum extent permitted by law, CodeSquad will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

To the maximum extent permitted by law, CodeSquad's total liability for any claim arising out of or related to these Terms or the Services will not exceed the amount you paid to CodeSquad for the Services in the past 3 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

18. Indemnification

You agree to indemnify and hold harmless CodeSquad and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services.
  • Your Customer Data.
  • Your violation of these Terms.
  • Your violation of third-party rights or applicable law.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example by posting on the website, in-app notice, or email). Your continued use of the Services after changes become effective means you accept the updated Terms.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved in the courts located in Lahore, Pakistan, unless a different dispute resolution method is specified in a separate written agreement.
